TOVI SMART TOYS INC. TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Tovi smart toy, the Tovi parent companion mobile application (the “Parent App”), our website and online store, and related services (collectively, the “Services”), provided by Tovi Smart Toys Inc. (“Tovi,” “we,” “us,” or “our”).

By purchasing, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. ELIGIBILITY & PARENTAL RESPONSIBILITY

The Services are intended for use only by parents or legal guardians who are at least 18 years old.

Children may interact with the Tovi toy only with the knowledge, consent, and supervision of a parent or legal guardian.

You are solely responsible for:

  • Your child’s use of the Services;

  • Supervising interactions with the Tovi toy;

  • Determining what content is appropriate for your household.

Tovi is not a replacement for parental guidance, education, medical advice, or professional care.

2. THE TOVI PRODUCT & PARENT APP

2.1 The Toy

Tovi is an AI-powered learning and companionship toy designed to engage children through voice-based interaction and play.

2.2 Parent App (Required)

Use of the Services requires the Parent App, which enables you to:

  • Pair and connect the Toy;

  • Manage settings and personalization options;

  • View and delete conversation history;

  • Control permissions and connectivity.

2.3 No Subscriptions

Tovi does not offer subscriptions or recurring charges. The Services are provided as part of your purchase of the Toy.

3. ACCOUNT REGISTRATION & CONSENT

To use the Services, you must create a parent account through the Parent App and provide required information, including verifiable parental consent for your child’s use of the Services.

You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account.

4. AI-POWERED FEATURES & DISCLOSURES

4.1 AI Technology

The Toy’s conversational features rely on artificial intelligence services, currently provided by OpenAI, and potentially other AI providers in the future.

4.2 Important Limitations

You acknowledge and agree that:

  • AI responses are machine-generated, not human;

  • AI responses may be inaccurate, incomplete, or unexpected;

  • AI does not understand context like a human;

  • AI output does not represent Tovi’s views;

  • AI output should not be relied upon for medical, therapeutic, educational, legal, or safety advice.

5. DATA USE & SESSION-ONLY PERSONALIZATION

5.1 Session-Based Interactions

Personalization occurs only within an active conversation session.
Tovi does not retain conversation memory or personalization across sessions.

Each new interaction starts without memory of prior conversations.

5.2 Conversation Visibility & Deletion

Parents may:

  • View conversation transcripts in the Parent App;

  • Delete conversation history at any time.

5.3 No AI Model Training

Tovi does not use conversation data to train or improve AI models, including third-party models, unless you provide explicit, separate consent.

6. CHILD PRIVACY & COPPA COMPLIANCE

Tovi is designed to comply with the Children’s Online Privacy Protection Act (COPPA).

We collect children’s personal information only with parental consent and only as necessary to provide the Services. Parents may review or delete their child’s data at any time as described in our Privacy Policy.

7. THIRD-PARTY SERVICES

7.1 Tuya Platform

The Parent App is delivered through the Tuya Smart platform, a third-party Internet-of-Things (IoT) service provider that enables device pairing, connectivity, and cloud communication between the Toy and the Parent App.

Tuya processes certain information (such as account credentials, device identifiers, and connectivity data) as a service provider acting on our behalf and under our instructions. Tuya does not receive payment information and is not authorized to use personal information for independent advertising or marketing.

Your use of the Parent App through Tuya is also subject to Tuya’s own terms and privacy policy.

7.2 Other Third Parties

We use additional service providers (such as Shopify, payment processors, hosting providers, and AI services) to operate the Services, as described in our Privacy Policy.

8. ACCEPTABLE USE

You agree not to:

  • Use the Services for unlawful purposes;

  • Attempt to bypass or disable safety, moderation, or security features;

  • Reverse engineer or tamper with the Toy, software, or app;

  • Use AI output to train other AI systems;

  • Introduce harmful, abusive, or inappropriate content.

We may suspend or terminate access for violations.

9. INTELLECTUAL PROPERTY

All software, firmware, designs, content, and technology used in the Services are owned by Tovi or its licensors and protected by law.

You receive a limited, non-exclusive, non-transferable license to use the Services for personal, household use only.

10. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOVI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOVI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

TOVI’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE TOY.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Tovi from claims arising out of:

  • Your violation of these Terms;

  • Your child’s use of the Services;

  • Misuse of the Services.

13. TERMINATION

You may stop using the Services at any time.
We may suspend or terminate access for violations or legal requirements.

14. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute shall be resolved through binding arbitration, except for small claims matters. You waive the right to participate in class actions.

15. CHANGES TO TERMS

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
